PC BRAIN END USER LICENSE AGREEMENT (EULA)

BY INSTALLING, ACTIVATING, OR USING PC BRAIN SOFTWARE ("SOFTWARE"), YOU AGREE TO BE BOUND BY THE TERMS OF THIS END USER LICENSE AGREEMENT ("AGREEMENT"). IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
PC BRAIN LLC ("Company") grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on machines you own or control, subject to the terms of this Agreement and your active license key.
The Software requires a valid license key for activation. Upon activation, the Software transmits your license key and a machine fingerprint hash (a one-way SHA256 hash of your hostname, platform, and processor — no raw hardware identifiers) to api.pcbrain.ai for validation. After initial activation, the Software operates fully offline. License keys are non-transferable and may not be shared.
You may:
Install and use the Software on your own computers for personal or business purposes.
Configure the Software with your own third-party API keys (OpenAI, Anthropic, Google, etc.).
Use the distributed node feature across machines you own on your private network.
You may not:
Reverse engineer, decompile, or disassemble the Software.
Sell, sublicense, rent, or transfer your license key to any third party.
Remove or alter any proprietary notices or labels on the Software.
Use the Software to develop a competing product.
Circumvent or disable any licensing or activation mechanisms.
PC Brain is designed as a locally-governed system. The following data practices apply:
All of the following are stored exclusively on your machine and are never transmitted to PC BRAIN LLC servers:
Your goals, tasks, memories, chat history, and action outcomes (brain.db).
Your API keys and configuration (.env file).
Device credentials, file events, session handoffs, and agent logs.
Screen captures, chat attachments, and research files.
When you use AI features, your prompts and contextual system data (active window title, CPU/RAM stats, your configured goals and tasks) are sent to the LLM provider YOU have configured (e.g., OpenAI, Anthropic, Google). This data is sent to YOUR account at those providers — not to PC BRAIN LLC servers. You are subject to those providers' privacy policies.
The Software contacts PC BRAIN LLC servers only for:
License key activation (license key + machine fingerprint hash).
Update checks every 4 hours (User-Agent header only: "PCBrain-Updater" — no personal data).
Telemetry is OFF by default. If you explicitly enable it, the Software may send: software version, node role, platform type, and truncated error messages (max 200 characters). No user content, file paths, or personal identifiers are included.
The Software automatically checks api.pcbrain.ai/updates every 4 hours for available updates. No personal data is transmitted during this check. Software updates are never installed automatically — all updates require your explicit action.
The Software, including its source code, design, architecture, and all related materials, is the intellectual property of PC BRAIN LLC and is protected by applicable patent, copyright, and trade secret laws. The patent-pending status of the Software's core architecture is acknowledged. Nothing in this Agreement transfers any ownership rights to you.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PC BRAIN LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PC BRAIN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PC BRAIN LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This Agreement is effective until terminated. PC BRAIN LLC may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Morris County, New Jersey.
